  1. Introduction
    Welcome to www.baaewellness.com (the “Site”), operated by Nutrizoe Nutriifoods Private Limited (“Company”, “we”, “our” or “us”), a company incorporated under the laws of India. BAAE Wellness is a brand of Nutrizoe Nutriifoods Private Limited.
    Please read these Terms and Conditions (“Terms”) carefully before using the Site and the features, content, applications, or products offered by us (collectively, the “Offerings”). These Terms set forth the legally binding terms and conditions for your use of the Site and the Offerings.
    By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not use the Site or any Offerings. We reserve the right to accept, reject or remove users from registrations on the Site without stating any reason thereof, and to restrict access to some or all parts of this Site at our sole discretion.

    • “BAAE” or “BAAE Wellness” refers to the consumer wellness brand operating under Nutrizoe Nutriifoods Private Limited.
    • “Products” means all consumer wellness items including but not limited to wax powders, epsom salts, hair oils, serums, beauty tools, intimate care products and any other items manufactured or sourced by us from time to time.
    • “Offerings” means all products, packages, features, applications and services provided by us,
    including but not limited to Site functionalities, subscriptions and third-party offerings.
    • “Site” means the website maintained by BAAE Wellness at www.baaewellness.com.
    • “End User” or “you” means any person who accesses, browses, or uses the Site whether or not registered.
  3. Jurisdiction and Governing Law
    These Terms shall be governed by and construed in accordance with the laws of India, without reference to conflict of laws principles. Any dispute or difference arising between the parties in respect of these Terms or the use of the Site shall be adjudicated in accordance with Indian law by courts situated in Mumbai, Maharashtra, which courts shall have exclusive jurisdiction to adjudicate such disputes.
  4. Licence and Site Access
    BAAE Wellness grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Site for your personal, non-commercial use only. This licence does not include any right to:
    • Copy, reproduce, download or distribute any content, text, graphics, images, audio, video, software or other material available on the Site.
    • Modify, adapt, translate or create derivative works based on any Site content.
    • Use any data mining, robots, scraping or similar data gathering methods on the Site.
    • Frame or embed any portion of the Site on any other website or digital platform.
    Any unauthorised use of Site content shall immediately terminate any permissions granted to you and may result in appropriate legal action at our sole discretion. Unauthorised use of the Site or its content may give rise to a claim for damages and may be regarded as a criminal offence resulting in appropriate legal action.

  5. Account Registration
    To purchase Products, you must register for an account on the Site. By registering, you represent and warrant that:
    • You are of legal age to form a binding contract under applicable Indian law.
    • You are not a person barred from receiving services under the laws of India.
    • All information you provide during registration is accurate, current and complete.
    • You will promptly update your account information to keep it accurate an complete.
    You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. BAAE Wellness will not be responsible for any loss or damage arising from unauthorised use of your account. Any account activity found to violate our policies may result in suspension or termination of your account.
    If you have provided a correct email address, you will receive order confirmations and relevant communications via email.
  6. Membership Eligibility
    Persons who are not competent to enter into legally binding contracts under the provisions of the Indian Contract Act, 1872, including un-discharged insolvents, are not entitled to use the Site.
    Persons under the age of 18 years may only use the Site under the supervision of a parent or legal guardian who agrees to be bound by these Terms. Minors are prohibited from independently purchasing Products. Parents or legal guardians of minors may transact on the Site on behalf of such minors, provided they are registered users.
    The Site uses analytics tools including Google Analytics to track user behaviour for the purpose of improving the Site and delivering a better user experience.
  7. Trademarks and Intellectual Property
    The trademarks, logos, brand names, service marks and intellectual property displayed on the Site, including “BAAE”, “BAAE Wellness”, “Bare And Beautiful Everyday” and associated branding, are the registered or unregistered trademarks of Nutrizoe Nutriifoods Private Limited or its affiliates. Nothing on the Site shall be construed as granting any licence or right to use any trademark without our prior written permission.
    All content on the Site including but not limited to text, graphics, photographs, product formulations, packaging designs, logos and software is the exclusive property of Nutrizoe Nutriifoods Private Limited and is protected by applicable Indian and international intellectual property laws.
  8. Paid Offerings and Billing
    Certain Offerings, including the purchase of Products, are subject to payment. By placing an order, you agree to pay the applicable purchase price plus applicable taxes and shipping charges. We use third-party payment processors to handle transactions. The processing of payments is subject to the terms, conditions and privacy policies of the relevant payment processor in addition to these
    Terms. We are not responsible for errors by the payment processor.By choosing to purchase Products, you authorise us, through the payment processor, to charge your chosen payment method for all amounts due. We reserve the right to correct any pricing errors even if payment has already been received.
    We shall not be liable for any loss or damage arising from declined transactions due to:
    • Lack of authorisation for any transaction.
    • Exceeding the limit agreed between you and your bank or payment service provider.
    • Any payment issues arising out of the transaction.
    • Decline of transaction for any other reason.
  9. Returns and Refunds

    reference. In the event of any inconsistency between the Returns and Refund Policy and these Terms, these Terms shall prevail. We reserve the right to modify the returns and refund policy at any time. It is your responsibility to review the policy before making a purchase.

    To the fullest extent permitted by applicable law, BAAE Wellness, Nutrizoe Nutriifoods Private Limited, its officers, directors, shareholders, affiliates, employees and agents shall not be liable to you for any indirect, incidental, consequential, special, punitive or exemplary damages of any kind arising from your use of the Site or the Offerings. in any event, our liability to you for any loss or damage, whether direct or indirect, shall not exceed the amounts already paid by you to us in relation to the specific purchase giving rise to the claim. We shall not be liable for any loss, damage, costs or expenses arising directly or indirectly from any failure or delay in performing any obligation under these Terms by reason of any event outside our
    reasonable control, including but not limited to strikes, industrial action, failure of power supplies or equipment, government action or force majeure.

    You agree to indemnify, defend and hold harmless BAAE Wellness, Nutrizoe Nutriifoods Private Limited and their respective officers, directors, employees and agents from and against any claims, liabilities, damages, losses, costs or expenses (including reasonable legal fees) arising out of or in connection with:

    • Your breach of any provision of these Terms.
    • Your violation of any third-party rights, including intellectual property rights.
